Coca-Cola FEMSA and Grupo Tampico merge their bottling operations
Coca-Cola FEMSA and Grupo Tampico and its shareholders, announce the successful merger of Grupo Tampico’s beverage division with Coca-Cola FEMSA.

Mexico City, Mexico – October 11, 2011 – Coca-Cola FEMSA, S.A.B. de C.V. (BMV: KOFL; NYSE: KOF) (“Coca-Cola FEMSA” or the “Company”), the largest public bottler of Coca-Cola products in the world in terms of sales volume, and Grupo Tampico S.A. de C.V. (“Grupo Tampico”) and its shareholders, announce the successful merger of Grupo Tampico’s beverage division with Coca-Cola FEMSA.
Coca-Cola FEMSA held an ordinary and extraordinary shareholders meeting on October 10, 2011, at which the Company’s shareholders approved this merger, amended the Company’s by-laws to increase the number of board members from 18 to 21 and appointed Mr. Herman Fleishman and Mr. Robert Fleishman, President and Vice President, respectively, of Grupo Tampico, as director and alternate director in our Board.
The aggregate enterprise value of this transaction is Ps. 9,300 million, which at the time of the announcement of this merger represented an EV/EBITDA multiple of approximately 9.6 times. As a result of the completion of the due diligence process, no material adjustment was recorded, and Grupo Tampico’s main shareholders received 63.5 million newly issued KOF series L shares. Coca-Cola FEMSA assumed Ps. 2,747 million in net debt.
This transaction received all necessary approvals, among others, the approval of The Comisión Federal de Competencia, the Mexican antitrust authority, and The Coca-Cola Company.

Coca-Cola FEMSA will start integrating the results of Grupo Tampico’s beverage division during October, 2011.

With no details regarding the amount of the transaction, Coca-Cola FEMSA announced the sale of 100% of its stock interest in the Panamanian dairy company Estrella Azul to Panama Dairy Ventures, Ltd.
The transfer of the shares became known after Coca-Cola sent a communication to the Mexican Stock Exchange, a document that specified some of the details of the transaction.
The Coca-Cola Company authorized the concentration consisting of the acquisition by The Coca-Cola Company of the brands Oasis and Cristal and other distinctive signs that protect bottled water products, as well as the granting of a bottling and distribution contract for such products to La Constancia.
The Superintendence of Competition reported that this contract will allow La Constancia to bottle and distribute the products of the mentioned water brands, under the terms that it already does with other brands of non-alcoholic beverages owned by The Coca Cola Company (TCCC) and that are marketed in the Salvadoran market.
The Mexican Corporation Coca-Cola FEMSA announced it has completed the acquisition of Panama's "Grupo Industrias Lácteas", parent company of "Estrella Azul", "Conservas Panameñas" and "Plásticos Modernos".
This is Coca Cola's first foray into the milk and dairy industry, which is one of the largest and most dynamic segments of the non-alcoholic beverages market in Latin America.
The Mexican group Coca-Cola Femsa has signed a preliminary agreement to acquire all the shares of Grupo Industrias Lácteas.
This agreement includes a commitment of exclusivity in negotiations, subject to government approvals, authorizations and a complete corporate legal, financial and operational audit.
